The next stage is then about introducing the investment opportunity to a select group of investors that we review with you, to gain early insights on their appetite for the opportunity.

We would take learnings from this initial engagement, refine the pitch and then approach a wider selection of potential investors.

As investors engage and want to hear more about the business and carry out detailed due-diligence, we would support you to guide investors through the data room and in your team’s discussions with these investors.

Investors will normally present you with a term-sheet before they start due-diligence and we would review this with you and support you in negotiating terms that are appropriate for your business, the founders and other shareholders.

The final steps are then to take investors through the detailed due-diligence, where we oversee all of the work streams – finance, commercial, legal and technical, with the aim of securing agreement on the final terms and legal documentation.

Negotiation of the legal documents usually starts whilst the due-diligence process is running. We would work with you to engage lawyers, to draft the shareholders agreements, review commercial terms and support you in the negotiation of and closure of an investment into your business.
